Timeliness of Representations, etc. The Subscriber agrees (on its own behalf and, if applicable, on behalf of each person on whose behalf the Subscriber is contracting) that the representations, warranties and covenants of the Subscriber herein will be true and correct both as of the execution of this Subscription Agreement and as of the Closing Time (as defined herein), and will survive the completion of the distribution of the Preferred Shares and any subsequent disposition by the Subscriber of Preferred Shares.
Timeliness of Representations, etc. 9.1 The Subscriber agrees, and it is a condition of the Corporation’s obligations hereunder, that the representations, warranties and covenants of the Subscriber herein and in documents delivered pursuant hereto will be true and correct both as of the execution of this Subscription Agreement and as of the Closing Date, and will survive the completion of the distribution of the Common Share Units and any subsequent disposition by the Subscriber of the Common Shares or Warrants.
