Title; Filings and Recordings. On or prior to the Closing Date, ----------------------------- (a) all filings and recordings or other actions necessary or advisable to perfect the security interest in the Indenture Estate created by the Indenture (or arrangements therefor satisfactory to the Loan Participant), shall have been duly made, subject to requirements for filing continuation statements at appropriate intervals and subject to Permitted Liens, and (b) no other action shall be required to perfect such security interest.

On the Closing Date, (a) all of ----------------------------- the Owner Participant's right, title and interest in and to the Construction Contract and the Payment Guarantee Letter shall have been duly and effectively transferred to the Owner Trust pursuant to the Assignment of Construction Contract, free and clear of all Liens other than Permitted Liens, and, except as set forth in Schedule 4, all filings and recordings and other action necessary or advisable to establish the Owner Trust's right, title and interest in and to the Construction Contract and the Payment Guarantee Letter, and to perfect the security interest in the Construction Contract and the Indenture Estate created by the Indenture, shall have been duly made, subject to requirements for filing continuation statements at appropriate intervals and subject to Permitted Liens, and (b) no other action shall be required to perfect such mortgage Lien and security interest.

On the Funding Date, (a) title ----------------------------- - in and to the Vessel shall have been duly and effectively transferred to the Owner Trustee pursuant to the Xxxx of Sale, free and clear of all Liens other than Permitted Liens described in subsections(ii)-(viii) of the definition of Permitted Liens; (b) all filings and recordings necessary (i) to establish the - - Owner Trustee's right, title and interest in and to the Vessel and the Builder's warranties transferred by the Conveyancing Instrument and (ii) to perfect the -- Indenture Trustee's security interest in the Indenture Estate created by the Indenture and the Ship Mortgage, shall have been duly made or arrangements shall have been made for the due filing or recording thereof on the Funding Date, subject to requirements for filing continuation statements at appropriate intervals and subject to Permitted Liens; (c) no other action shall be required - to perfect such right, title and interests (other than the taking of possession by the Indenture Trustee of the original executed counterpart of the Charter) and (d) - there are no sales taxes arising or due in connection with the transfer of title to the Vessel to the Owner Trustee or the charter of the Vessel to the Charterer as contemplated by the Operative Documents.

On the Closing Date, after giving effect to the transactions contemplated hereby, (a) good and marketable title in and to the Undivided Interest shall have been transferred to the Grantor Trustee, free and clear of all Liens other than Permitted Liens (other than Permitted Liens described in clause (e) of the definition thereof), except for record title to the Undivided Interest, which will continue to be held by Enserch Exploration, (b) all filings and recordings listed on Schedule 3 shall have been duly made or arrangements reasonably satisfactory to the Owner Participant and the Indenture Trustee shall have been made for the due filing or recording thereof, subject to requirements for filing continuation statements at appropriate intervals, and (c) no other action shall be required to perfect the mortgage Lien on and security interest in the Indenture Estate created by the Indenture and Collateral Assignment of the Ship Mortgage (other than the taking of possession by the Indenture Trustee of the original executed counterpart of the Lease and of any cash proceeds included in the Indenture Estate and the filing of the Ship Mortgage and the Collateral Assignment of Ship Mortgage for definitive recordation at the Panama Public Registry within six months of the date of preliminary recordation).
