Title to and Condition of Assets Purchased. At the closing of any ------------------------------------------ purchase hereunder, Rocky Mountain shall pay the applicable Option Purchase Price to Thermo in cash, and Thermo shall convey to Rocky Mountain all of Thermo's right, title, and interest in the Facility by general warranty deed, free and clear of all mortgages, liens, and other encumbrances relating to financing obtained or debts incurred by Thermo, but subject to the continuing covenants of this Agreement and to the other matters provided in sections 7 and 8 (except paragraph 4.7), which shall be covenants running with the Land for the benefit of the remaining portion of the Project Site (described in Part II of Exhibit A) and be enforceable for a period concurrent with the expiration date of the Thermal Term as if the purchase had not occurred, and subject to those further matters, if any, then comprising the "Schedule of Permitted Encumbrances" attached hereto as Exhibit H. The foregoing notwithstanding, Thermo may elect to convey by special warranty deed, in which event Thermo shall purchase and provide to Rocky Mountain an ALTA Owner's Policy of Title Insurance in the amount of the applicable Option Purchase Price. Such title insurance policy shall insure title in Rocky Mountain subject only to standard exceptions provided in such form and to special exceptions permitted under this paragraph 5.3). Rocky Mountain shall accept such conveyance of the Facility "as is, where is," and "with all faults," and shall thereafter defend, indemnify and save Thermo harmless from any losses, Damages or claims arising out of or occurring in connection with the operation of the Facility except such losses, damages, and claims as may arise out of the negligent or intentionally tortious acts or omissions of Thermo, its agents, and employees.

Title to and Condition of Assets Purchased. Seller owns and has absolute, good and marketable title to all of the Assets Purchased, free and clear of all Encumbrances. The Assets Purchased are (i) in good operating condition and are not in need of any repair (other than minor routine repair and maintenance), (ii) all located at the Seller's facilities and are reasonable and sufficient for the continued conduct of the Business after the Closing in substantially the same manner as conducted by Seller prior to the Closing, and (iii) the only assets (except for the Excluded Assets), which are (a) used in the Business or operations of the Seller, (b) reflected in the books, records and Financial Statements and Interim Financial Statements of Seller, and/or (c) located at the Seller's facilities. The Seller is not holding any assets of any other Person at any of its facilities on consignment, bailment or otherwise. The Seller does not conduct any business or operations other than the Business. The ownership, possession, use or operation of the Assets Purchased or the Business does not, directly or indirectly, give rise to or create any obligation for, the payment of any rent, royalty, license fee, commission or the like.

  • Title to and Condition of Assets The Company or one of its Subsidiaries has good and valid title to or a valid leasehold interest in all of its material tangible assets, including all of the material tangible assets reflected on the Balance Sheet or acquired in the ordinary course of business consistent with past practice since the date of the Balance Sheet, except those sold or otherwise disposed of for fair value since the date of the Balance Sheet in the ordinary course of business consistent with past practice. None of the assets owned or leased by the Company or any of its Subsidiaries is subject to any Encumbrance, other than (i) liens for Taxes not yet due and payable and for which adequate reserves have been established in accordance with GAAP, (ii) mechanics’, workmen’s, repairmen’s, warehousemen’s and carriers’ liens arising in the ordinary course of business of the Company or such Subsidiaries consistent with past practice, (iii) Encumbrances arising in the ordinary course of business by operation of law with respect to any liability that is not yet due and payable or that is being contested in good faith by appropriate proceedings and for which adequate reserves have been established in accordance with GAAP, (iv) in the case of real property, any such matters properly filed of public record against the applicable real property that do not, individually or in the aggregate, materially impair the continued ownership, use and operation of the property to which they relate, (v) zoning, planning and other similar limitations and restrictions imposed by Governmental Entities to regulate any real property that are not violated by the use and operation of such real property, (vi) the rights of licensors and licensees under software licenses executed in the ordinary course of business, (vii) liens contained in the organizational documents of the Company or any of its Subsidiaries, (vii) liens affecting a landlord’s interest in property leased to the Company or any of its Subsidiaries so long as such liens do not breach and would not reasonably be expected to breach a customary covenant of quiet enjoyment (due to the existence of a non-disturbance agreement or other arrangement in which the tenant’s interest is recognized and protected) or (viii) Encumbrances arising or incurred in the ordinary course of business consistent with past practice none of which are reasonably likely to adversely interfere in any substantial way with the ownership, occupancy or use of the property encumbered thereby or (ix) Encumbrances disclosed on Section 3.18 of the Company Disclosure Letter (collectively, “Permitted Encumbrances”).

  • Acquisition of Assets In the event the Company or any Subsidiary acquires any assets or other properties, such assets or properties shall constitute a part of the Collateral (as defined in the Security Agreement) and the Company shall take all action necessary to perfect the Purchasers’ security interest in such assets or properties pursuant to the Security Agreement.

(b) The Purchased Assets (together with the rights of the Acquiror and its Affiliates under the Related Agreements), the rights granted pursuant to Section 2.5 and, as applicable, pursuant to the Sublicense Agreement constitute all of the assets, Contracts, Required Permits, rights and services required for the continued operation of the Evamist Business by the Acquiror as conducted by the Seller during the past twelve (12) months. (c) Each item of equipment which is a Purchased Asset (other than equipment set forth on Schedule 6.14(c) of the Seller Disclosure Schedule) is in good operating condition for the purposes for which it is currently being used, subject to ordinary wear and tear, is free from any material defect and has been maintained in all material respects in accordance with generally accepted industry practice. (d) The Seller has not experienced any out-of-stock or back-order situation with respect to the Evamist Business (e) The Seller does not own or control any Evamist Product Improvements, and has not granted to any third party or enabled any third party to make any Evamist Product Improvements.

  • Sales, Etc. of Assets Sell, lease, transfer or otherwise dispose of, or cause or permit any Subsidiary of the Borrower to sell, lease, transfer or otherwise dispose of, any assets, or grant any option or other right to purchase, lease or otherwise acquire any assets, except (i) sales in the ordinary course of its business, (ii) dispositions of assets required to be sold to comply with Applicable Laws, (iii) dispositions of short-term, readily marketable investments purchased for cash management purposes with funds not representing the proceeds of other asset sales, (iv) sales, leases, transfers or dispositions of assets to any Person that is not a wholly-owned Subsidiary of the Borrower that in the aggregate during any 12-month period do not exceed 10% of the Consolidated Assets of the Borrower and its Subsidiaries, whether in one transaction or a series of transactions, provided that any such sales, leases, transfers or dispositions will be disregarded for purposes of such 10% limitation (and, for the avoidance of doubt, be deemed to be permitted hereunder) if the net proceeds thereof, within 18 months of such sale, lease, transfer or disposition, as applicable, are (A) used to retire Debt of the Borrower and its Subsidiaries (other than Debt that is subordinated to the Debt hereunder) or (B) invested in assets in similar or related lines of business (including geographic extensions thereof) of the Borrower and its Subsidiaries as of the Closing Date, (v) sales, leases, transfers and dispositions made to the Borrower or a wholly-owned Subsidiary of the Borrower and (vi) a disposition by the Borrower of all or substantially all of its assets to any Person so long as the requirements set forth in Section 5.02(b) are satisfied as if such disposition were a merger or consolidation in which the Borrower is not the surviving entity.
