Common use of Title to and rights in Scheme Shares Clause in Contracts

Title to and rights in Scheme Shares. (a) To the extent permitted by law, the Scheme Shares (including all rights and entitlements attaching to the Scheme Shares) transferred under this Scheme to Bidder will, at the time of transfer of them to Bidder vest in Bidder free from all mortgages, charges, liens, encumbrances, pledges, security interests (including any ‘security interests’ within the meaning of section 12 of the Personal Property Securities Act 2009 (Cth)) and interests of third parties of any kind, whether legal or otherwise and free from any restrictions on transfer of any kind.

(a) To the extent permitted by law, the Scheme Shares (including all rights and entitlements attaching to the Scheme Shares) transferred under this Scheme to Bidder Acquirer will, at the time of transfer of them to Bidder Acquirer, vest in Bidder Acquirer free from all mortgages, charges, liens, encumbrances, pledges, security interests (including any ‘security interests’ within the meaning of section 12 of the Personal Property Securities Act 2009 Xxx 0000 (Cth)) and interests of third parties of any kind, whether legal or otherwise and free from any restrictions on transfer of any kind.

(a) To the extent permitted by law, the Scheme Shares (including all rights and entitlements attaching to the Scheme Shares) transferred under this Scheme scheme plan to Bidder the Acquirer (or, if nominated pursuant to clause 1.5, the Acquirer Nominee) will, at the time of transfer of them to Bidder the Acquirer or, if applicable, the Acquirer Nominee, vest in Bidder the Acquirer or the Acquirer Nominee (as applicable) free from all mortgages, charges, liens, encumbrances, pledges, security interests (including any ‘security interests’ within the meaning of section 12 of the Personal Property Securities Act 2009 (Cth)) and interests of third parties of any kind, whether legal or otherwise Encumbrances and free from any restrictions on transfer of any kind.
