Determination of Scheme Shareholders. Each Scheme Shareholder will be entitled to participate in the Scheme.
Determination of Scheme Shareholders. To establish the identity of the Scheme Shareholders, dealings in APD Securities or other alterations to the Security Register will only be recognised if:
(a) in the case of dealings of the type to be effected using CHESS, the transferee is registered in the Security Register as the holder of the relevant APD Securities at or before the Record Date; and
(b) in all other cases, registrable transfer or transmission applications in respect of those dealings, or valid requests in respect of other alterations, are received at or before the Record Date at the place where the Security Register is kept, and APD must not accept for registration, nor recognise for any purpose (except a transfer to Bidder pursuant to this Scheme and any subsequent transfer by Bidder or its successors in title), any transfer or transmission application or other request received after the Record Date, or received prior to the Record Date but not in registrable or actionable form.
Determination of Scheme Shareholders. To establish the identity of the Scheme Shareholders, dealings in Vault Shares or other alterations to the Share Register will only be recognised if:
(a) in the case of dealings of the type to be effected using CHESS, the transferee is registered in the Share Register as the holder of the relevant Vault Shares at or before the Record Date; and
(b) in all other cases, registrable transfer or transmission applications in respect of those dealings, or valid requests in respect of other alterations, are received at or before the Record Date at the place where the Vault Register is kept, and Vault must not accept for registration, nor recognise for any purpose (except a transfer to Xxxxxxx pursuant to this Scheme and any subsequent transfer by Xxxxxxx or its successors in title), any transfer or transmission application or other request received after the Record Date, or received prior to the Record Date but not in registrable or actionable form.
Determination of Scheme Shareholders. To establish the identity of the Scheme Shareholders, dealings in Target Shares or other alterations to the Share Register will only be recognised if:
(a) in the case of dealings of the type to be effected using CHESS, the transferee is registered in the Share Register as the holder of the relevant Target Shares at or before the Scheme Record Date; and
(b) in all other cases, registrable transfer or transmission applications in respect of those dealings, or valid requests in respect of other alterations, are received at or before the Scheme Record Date at the place where the Share Register is kept, and Target will not accept for registration, nor recognise for any purpose (except a transfer to Nominee pursuant to this Scheme and any subsequent transfer by Nominee or its successors in title), any transfer or transmission application or other request received after the Scheme Record Date or received prior to the Scheme Record Date but not in registrable or actionable form.
Determination of Scheme Shareholders. (a) Each Scheme Shareholder will be entitled to participate in the Scheme.
(b) For the purpose of determining who is a Scheme Shareholder, dealings in Xxxxxxxx Xxxxxx will only be recognised if share transfer forms in registrable form or transmission applications in respect of those dealings are received by the Share Registry by the Scheme Record Date.
Determination of Scheme Shareholders. For the purposes of establishing who are Scheme Shareholders, dealings in Talison Shares will be recognised by Talison provided that:
(a) in the case of dealings of the type to be effected on the TSX, the transferee is registered in the Talison Share Register as the holder of the relevant Talison Shares at or before the Record Date; and
(b) in all other cases, registrable transfers or transmission applications in respect of those dealings are received at the place where the Talison Share Register is kept at or before the Record Date, and Talison will not accept for registration, or recognise for the purpose of establishing who are Scheme Shareholders, any transmission application or transfer in respect of Talison Shares received after the Record Date.
Determination of Scheme Shareholders. To establish the identity of the Scheme Shareholders, dealings in Amcor Shares or other alterations to the Amcor Share Register will only be recognised if:
(a) in the case of dealings of the type to be effected using CHESS, the transferee is registered in the Amcor Share Register as the holder of the relevant Amcor Shares before the Scheme Record Date; and
(b) in all other cases, registrable transfer or transmission applications in respect of those dealings, or valid requests in respect of other alterations, are received before the Scheme Record Date at the place where the Amcor Share Register is kept, and Amcor must not accept for registration, nor recognise for any purpose (except a transfer to New Holdco pursuant to this Scheme and any subsequent transfer by New Holdco or its successors in title), any transfer or transmission application or other request received after such times, or received prior to such times but not in registrable or actionable form, as appropriate.
Determination of Scheme Shareholders. To establish the identity of the Scheme Shareholders, dealings in Asciano Shares or other alterations to the Share Register will only be recognised by Asciano if:

(b) in all other cases, registrable transfer or transmission applications in respect of those dealings, or valid requests in respect of other alterations, are received on or before the Record Date at the place where the Register is kept, and BigAir must not accept for registration, nor recognise for any purpose (except a transfer to Superloop pursuant to this Scheme and any subsequent transfer by Superloop or its successors in title), any transfer or transmission application or other request received after such times, or received prior to such times but not in registrable or actionable form, as appropriate.
Determination of Scheme Shareholders. To establish the identity of the Scheme Shareholders, dealings in DuluxGroup Shares or other alterations to the Share Register will only be recognised if:
(a) in the case of dealings of the type to be effected using CHESS, the transferee is registered in the Share Register as the holder of the relevant DuluxGroup Shares at or before the Record Date; and
(b) in all other cases, registrable transfer or transmission applications in respect of those dealings, or valid requests in respect of other alterations, are received at or before the Record Date at the place where the Share Register is kept, and DuluxGroup must not accept for registration, nor recognise for any purpose (except a transfer to Bidder pursuant to this Scheme and any subsequent transfer by Bidder or its successors in title), any transfer or transmission application or other request received after the Record Date, or received prior to the Record Date but not in registrable or actionable form.
