Common use of Title to Assets; Intellectual Property Clause in Contracts

Title to Assets; Intellectual Property. Except for the Permitted Encumbrances, each of the Entities has Defensible Title to those of the Assets that it operates, free and clear of all Liens, and: (a) none of HOLDINGS or the Entities has received any written notice of infringement, misappropriation or conflict with respect to Intellectual Property from any Person with respect to the ownership, use or operation of the Assets; and (b) the ownership, use and operation of the Assets have not infringed, misappropriated or otherwise conflicted with any patents, patent applications, patent rights, trademarks, trademark applications, service marks, service xxxx applications, copyrights, trade names, unregistered copyrights or trade secrets of any other Person.

Except for the Permitted Encumbrances, each of the Operated Entities and, to HOLDINGS’ Knowledge, each of the Non-Operated Entities, has Defensible Title to those of the Assets that it operates, free and clear of all Liens, and: (a) none of HOLDINGS or HOLDINGS, the Operated Entities or, to HOLDINGS’ Knowledge, the Non-Operated Entities has received any written notice of infringement, misappropriation or conflict with respect to Intellectual Property from any Person with respect to the ownership, use or operation of the Assets; and (b) the ownership, use and operation of the Assets have not infringed, misappropriated or otherwise conflicted with any patents, patent applications, patent rights, trademarks, trademark applications, service marks, service xxxx applications, copyrights, trade names, unregistered copyrights or copyrights, trade secrets of any other Person.
