Non-Disclosure Agreements. To the extent that any third-party proprietor of information or software to be disclosed or made available to a Recipient in connection with performance of the Services requires a specific form of non-disclosure agreement as a condition of such third party’s consent to use the same for the benefit of the Recipient or to permit the Recipient access to such information or software, each Party shall, or shall cause its relevant Affiliate to, as a condition to the receipt of such portion of the Services, execute (and shall cause its Personnel to execute, if reasonably required) any such form.
Non-Disclosure Agreements. No recipient or entity that receives a procurement contract or subcontract with any funds under this award, may require any employee or contractor to sign an internal confidentiality agreement or statement that prohibits or otherwise restricts, or purports to prohibit or restrict, the reporting of waste, fraud, or abuse to an investigative or law enforcement representative of a federal department or agency authorized to receive such information.
Non-Disclosure Agreements. The Company agrees to use its commercially reasonable efforts to cause all of its current employees and consultants to execute, to the extent they have not already done so, a Non-Disclosure Agreement (with Intellectual Property assignment provisions) in substantially the form currently used by the Company.
Non-Disclosure Agreements. Promptly following the Closing, Seller shall and shall cause its Affiliates to use commercially reasonable efforts to cause all counterparties to nondisclosure agreements pertaining to an acquisition of the Business to return or destroy all confidential information of the Business provided by Seller or any Affiliate of Seller thereunder. In the event either Purchaser or Seller (or any of their respective Affiliates) become aware of noncompliance by any such counterparty, then the Party learning of such non-compliance shall notify the other Party and thereafter, upon written request from Purchaser, Seller or such Affiliate shall assign to Purchaser or an Affiliate of Purchaser all rights to enforce such nondisclosure agreements, or if such rights are not assignable, shall enforce such rights on behalf of Purchaser or Purchaser’s Affiliate (at the expense of Purchaser or such Affiliate).
Non-Disclosure Agreements. Buyer agrees that Seller may require Buyer to enter into one or more non-disclosure agreements with vendors of Seller before Seller may disclose certain business or technical information to Buyer.
Non-Disclosure Agreements. In instances where the host company demands it, you agree to sign a Non Disclosure Agreement with the host company. Regardless of whether or not the host company requires a written Non Disclosure Agreement, you agree to respect and keep confidential the intellectual property of the host company you are placed with.
Non-Disclosure Agreements. (a) In instances where it is demanded by the Internship Provider, you agree to sign a Non- Disclosure Agreement with the assigned Internship Provider. Regardless of whether or not the assigned internship provider requires a written Non-Disclosure Agreement, you agree to respect and keep confidential the intellectual property of the assigned Internship Provider. Any work produced during your internship remains the property of your assigned Internship Provider unless specified otherwise.
(b) You hereby agree not to disclose specifics, or any disputes regarding your internship to other program participants or third parties outside of AIP or your assigned Internship Provider.
Non-Disclosure Agreements. All employees of CCC shall have executed and delivered to CCC (and Buyer shall have received copies thereof) Non-Disclosure Agreements in form and substance reasonably satisfactory to Buyer.
Non-Disclosure Agreements. Each party shall obtain the execution of proprietary nondisclosure agreements with its Affiliates, including but not limited to the party's and/or Affiliates' respective agents and consultants having access to Confidential Information of the other party, shall diligently enforce such agreements with respect to the Confidential Information, and shall exercise due care to control the actions of such Affiliates, employees, agents and consultants in this respect so long as they have a working relationship with the party obligated hereunder to obtain such nondisclosure agreements.
Non-Disclosure Agreements. In performance of the contract, the Contractor may have access to non-public proprietary information. If the Government determines that the Contractor will have access to non-public proprietary information, then the Contractor shall require that any employee performing services under this contract sign a Non- Disclosure Agreement (NDA). The NDA shall acknowledge the Contractor and employees’ duties and promise to comply with those obligations. A copy of the executed NDA shall be provided to the PCO and Government COR for every person on the contract upon request.
