Title to Intellectual Property. a) All right, title and interest in and to Foreground Intellectual Property prepared, conceived or developed by the Supplier/Service Provider, its researchers, agents and employees shall vest in Transnet and the Supplier/Service Provider acknowledges that it has no claim of any nature in and to the Foreground Intellectual Property. The Supplier/Service Provider shall not at any time during or after the termination or cancellation of this Agreement dispute the validity or enforceability of such Foreground Intellectual Property, or cause to be done any act or anything contesting or in any way impairing or tending to impair any part of that right, title and interest to any of the Foreground Intellectual Property and shall not counsel or assist any person to do so.
b) Transnet TPT shall be entitled to seek protection in respect of the Foreground Intellectual Property anywhere in the world as it shall decide in its own absolute discretion and the Supplier/Service Provider shall reasonably assist Transnet TPT in attaining and maintaining protection of the Foreground Intellectual Property.
c) Where the Foreground Intellectual Property was created by the Supplier/Service Provider or its researchers, agents and employees and where Transnet elects not to exercise its option to seek protection or decides to discontinue the financial support of the prosecution or maintenance of any such protection, Transnet TPT shall notify the Supplier/Service Provider who shall have the right of first refusal to file or continue prosecution or maintain any such applications and to maintain any protection issuing on the Foreground Intellectual Property.
d) No consideration shall be paid by Transnet TPT to the Supplier/Service Provider for the assignment of any Foreground Intellectual Property from the Supplier/Service Provider to TransnetTPT, over and above the sums payable in terms of this Agreement. The Supplier/Service Provider undertakes to sign all documents and do all things as may be necessary to effect, record and perfect the assignment of the Foreground Intellectual Property to TransnetTPT.
e) Subject to anything contrary contained in this Agreement and/or the prior written consent of Transnet TPT [which consent shall not be unreasonably be withheldwithheld or delayed], the Supplier/Service Provider shall under no circumstances be entitled as of right, or to claim the right, to use TransnetTPT’s Background Intellectual Property and/or Foreground Intellectual Property.

Title to Intellectual Property. a) All Each Service Recipient acknowledges that it will acquire no right, title and or interest (including any license rights or rights of use) in and to Foreground any Intellectual Property prepared, conceived which is owned or developed licensed by the Supplier/applicable Service Provider, its researchersby reason of the provision of the Services provided hereunder. The applicable Service Recipient shall not remove or alter any copyright, agents and employees shall vest in Transnet trademark, confidentiality or other proprietary notices that appear on any Intellectual Property owned or licensed by Service Provider, and the Supplier/applicable Service Recipient shall reproduce any such notices on any and all copies thereof. No Service Recipient shall attempt to decompile, translate, reverse engineer or make excessive copies of any Intellectual Property owned or licensed by the applicable Service Provider, and Service Recipient shall promptly notify the applicable Service Provider acknowledges that it has no claim of any nature in and such attempt, regardless of whether by such Service Recipient or any third party, of which such Service Recipient becomes aware. Notwithstanding anything to the Foreground contrary contained herein, each Service Provider hereby grants on behalf of itself and all of its applicable subsidiaries to the applicable Service Recipient a perpetual, nonexclusive, non-transferrable (other than as part of an assignment of this Agreement in accordance with Section 10.6)), royalty-free, fully paid-up), worldwide right and license to use any Intellectual PropertyProperty owned by Service Provider (to the extent Service Provider has the right to grant such right and license without conflicting with the rights of, or incurring any payment or other obligation to, any other Person) for use by the applicable Service Recipient solely as part of or in connection with the provision of the applicable Services hereunder. The Supplier/Any Service Recipient may extend the benefit of this license to consultants and contractors solely to the extent necessary for such Service Recipient to enjoy the benefits of the applicable Services performed under this Agreement, but not for their independent use. Any other provisions relating to Intellectual Property with respect to any Services shall be contained in the applicable Schedules or as may be mutually agreed in writing by the parties, and each Schedule shall provide that the Service Provider agrees to provide, upon reasonable request by the applicable Service Recipient, all documents and tangible embodiments of any Intellectual Property created or developed under such Schedule on behalf of the Service Recipient as part of the Services. For the avoidance of doubt, all Intellectual Property and other proprietary rights owned by or licensed to a Service Provider shall not be and at any time during or after all times remain the termination or cancellation of this Agreement dispute the validity or enforceability exclusive property of such Foreground Intellectual Property, or cause to be done any act or anything contesting or in any way impairing or tending to impair any part of that right, title and interest to any of the Foreground Intellectual Property and shall not counsel or assist any person to do so.

c) Where the Foreground Intellectual Property was created by the Supplier/Service Provider a Schedule or its researchers, agents and employees and where Transnet elects not to exercise its option to seek protection or decides to discontinue the financial support of the prosecution or maintenance of any such protection, Transnet shall notify the Supplier/Service Provider who shall have the right of first refusal to file or continue prosecution or maintain any such applications and to maintain any protection issuing on the Foreground Intellectual Property.

c) Where the Foreground Intellectual Property was created by the Supplier/Service Provider or its researchers, agents and employees and where Transnet elects not to exercise its option to seek protection or decides to discontinue the financial support of the prosecution or maintenance of any such protection, Transnet shall notify the Supplier/Service Provider who shall have the right of first refusal to file or continue prosecution or maintain any such FOR THE PROVISION OF A MANAGED INTEGRATED TRAVEL SOLUTION TO TRANSNET FOR A PERIOD OF THREE (3) YEARS applications and to maintain any protection issuing on the Foreground Intellectual Property.
d) No consideration shall be paid by Transnet to the Supplier/Service Provider for the assignment of any Foreground Intellectual Property from the Supplier/Service Provider to Transnet, over and above the sums payable in terms of this the Agreement. The Supplier/Service Provider undertakes to sign all documents and do all things as may be necessary to effect, record and perfect the assignment of the Foreground Intellectual Property to Transnet.

The Supplier/Service Provider hereby undertakes to sign all documents and do all things as may be necessary to effect, record and perfect the assignment of such improvements, developments, adaptations and/or modifications, inventions or discoveries to Transnet and the Supplier/Service Provider shall reasonably assist Transnet in attaining, maintaining or documenting ownership and/or protection of the improved Foreground Intellectual Property.
