Title to Shares in the Company. The Seller is the sole legal and beneficial owner of the Shares, representing 100% of the share capital of the Company, free and clear of any lien. The Shares are validly issued and fully paid-up. There are no outstanding options, warrants, calls, rights or commitments, or any other agreements regarding the sale or issuance of rights to acquire any of the shares of the Company.
