Ladies and Gentlemen: This letter is being delivered to you in connection with the execution of that certain Coinsurance Agreement dated as of July 23, 2002 (the "Coinsurance Agreement"), by and between Valley Forge Life Insurance Company ("VFL") and PHL Variable Insurance Company ("PHL"), in order to amend the Coinsurance Agreement.
