To the Base Trust. Xxxxxx Mae, acting in its corporate capacity, does hereby transfer, assign, set over and otherwise convey to Xxxxxx Xxx, acting in its capacity as Trustee for the Base Trust established hereby, (i) all of Xxxxxx Mae’s right, title and interest in and to the Lower Tier Mortgage Securities identified in Exhibit A-1 hereto, including all payments of principal, if any, and interest thereon received after the month in which the Issue Date occurs, and (ii) all of Xxxxxx Mae’s right, title and interest in and to the Mortgage Loans identified in Exhibits A-2 and A-3 hereto, including all payments of principal and interest received thereon after the Issue Date (other than the portion of any payment representing interest for a period prior to the Issue Date and other than any installments of principal due in respect of the Mortgage Loans on the Issue Date).

  • Name of Trust It is understood that the name "Calamos", and any logo associated with that name, is the valuable property of Calamos Asset Management, Inc., and that the Trust has the right to include "Calamos" as a part of its name or the name of any Fund only so long as this Agreement shall continue. Upon termination of this Agreement the Trust shall forthwith cease to use the "Calamos" name and logo and shall take such action as is necessary to change the name of any Fund and to amend its Declaration of Trust to change the Trust's name.
