TOOLING AND FIRST ARTICLE SAMPLES. Tooling will be approved by ICOP DIGITAL and invoiced by TIETECH at cost as those costs are incurred. Design and procurement of tooling for injection molded plastic parts is the responsibility of TIETECH. TIETECH warrants that the life cycle of the tooling shall be as defined in Appendix V of this Agreement. Should any tooling require replacement, prior to the warranted life cycle, TIETECH shall replace the tooling and TIETECH shall be responsible for cost of placement. ICOP DIGITAL will utilize TIETECH’s established vendors when TIETECH needs, provided that pricing and quality are competitive and approved by ICOP DIGITAL. TIETECH is responsible to qualify all vendors per their system requirements. ICOP DIGITAL can request, and TIETECH shall provide, a re-quote, lead times, and price breaks for any and all component parts (units such as camera or cable). TIETECH shall work with its own vendors to purchase component parts as needed, if approved by ICOP DIGITAL; and ICOP DIGITAL has the option to replace and/or provide component parts to TIETECH, upon mutual agreement. ICOP DIGITAL shall supply the compression chip sets to TIETECH at ICOP DIGITAL’s own expense.

TOOLING AND FIRST ARTICLE SAMPLES. ZEVEX has estimated circuit board tooling in Appendix IV attached hereto and by reference made a part hereof (the "Deliverables.") Firm pricing will be provided once the circuit design and layout are complete. Tooling will be approved by Cardiac Science and invoiced by ZEVEX at cost as those costs are incurred. Cardiac Science will utilize ZEVEX's established vendors when possible, provided that pricing and quality are competitive and approved by Cardiac Science. All molds, tooling and implements of manufacture used solely and directly paid for by ICOP DIGITAL in connection with the Products (“Implements of Manufacture”) shall at all times remain the exclusive and permanent property of ICOP DIGITAL, even if prepared in whole or in part by EVERFOCUS. ICOP DIGITAL will utilize EVERFOCUS’ established vendors when EVERFOCUS needs, provided that pricing and quality are competitive and approved by ICOP DIGITAL. ICOP initials: DCO EVERFOCUS initials: MJK EVERFOCUS is responsible to qualify all such vendors per their system requirements.   • Labeling and Packaging BTG shall label and package the Bulk Product in accordance with Legal Requirements applicable to pharmaceutical products shipped in bulk for further processing, labeling, or repackaging.

  • Inspection and Testing 7.5.1 Meters, data acquisition, and related protection equipment at Generator's Interconnection Point shall be tested at least biennially by Generator in accordance with the provisions for meter testing as established in American National Standard Institute Code for Electricity Metering (ANSI) Standard C12.16 for Solid State Electricity Meters, as the same may be updated from time to time. Representatives of each Party shall be afforded an opportunity to witness such tests.

  • Packaging and Labeling 11.1 Company shall provide packaging and labeling specifications that call out clear labeling requirements.

  • Access to Review Materials The Servicer will give the Asset Representations Reviewer access to the Review Materials for all of the Subject Receivables within sixty (60) calendar days after receipt of the review notice in one or more of the following ways in the Servicer’s reasonable discretion: (i) by electronic posting of Review Materials to a password-protected website to which the Asset Representations Reviewer has access, (ii) by providing originals or photocopies of documents relating to the Subject Receivables at one of the properties of the Servicer or (iii) in another manner agreed by the Servicer and the Asset Representations Reviewer. The Servicer may redact or remove PII from the Review Materials so long as all information in the Review Materials necessary for the Asset Representations Reviewer to complete the Asset Review remains intact and unchanged.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Tooling Inventory that consists of tooling or replacement parts;

  • Buyer Furnished Equipment 14.3.2.1 The Seller shall introduce data related to Buyer Furnished Equipment, for equipment that is installed on the Aircraft by the Seller (hereinafter “BFE Data”) into the customized Technical Data, at no additional charge to the Buyer for the initial issue of the Technical Data provided at first Aircraft Delivery, provided such BFE Data is provided in accordance with the conditions set forth in Clauses 14.3.2.2 through 14.3.2.6.

  • Access to Data The Holder has had an opportunity to ask questions of officers of the Company, which questions were answered to its satisfaction. The Holder believes that it has received all the information that it considers necessary or appropriate for deciding whether to acquire the Securities. The Holder understands that any such discussions, as well as any information issued by the Company, were intended to describe certain aspects of the Company’s business and prospects, but were not necessarily a thorough or exhaustive description. The Holder acknowledges that any business plans prepared by the Company have been, and continue to be, subject to change and that any projections included in such business plans or otherwise are necessarily speculative in nature, and it can be expected that some or all of the assumptions underlying the projections will not materialize or will vary significantly from actual results.

  • Sub-Adviser Review of Materials Upon the Adviser’s request, the Sub-Adviser shall review and comment upon selected portions, relating to the Sub-Adviser and/or Strategy (including the Allocated Portion), of the Registration Statement, other offering documents and ancillary sales and marketing materials prepared by the Adviser for the Fund, and participate, at the reasonable request of the Adviser and as agreed to by the Sub-Adviser, in educational meetings with placement agents and other intermediaries about portfolio management and investment-related matters of the Fund. The Sub-Adviser will promptly inform the Fund and the Adviser if any information in the Registration Statement is (or will become) inaccurate or incomplete.

  • Changes in Equipment, Systems, Etc USBFS reserves the right to make changes from time to time, as it deems advisable, relating to its systems, programs, rules, operating schedules and equipment, so long as such changes do not adversely affect the services provided to the Trust under this Agreement.
