Common use of Trade Secrets of Others Clause in Contracts

Trade Secrets of Others. Consultant represents to the Company that its performance of all the terms of this Agreement does not and will not breach any agreement to keep in confidence proprietary information or trade secrets acquired by Consultant in confidence or in trust prior to its engagement by the Company, and Consultant will not disclose to the Company, or induce the Company to use, any confidential or proprietary information or material belonging to others. Consultant agrees not to enter into any agreement, either written or oral, in conflict with this Agreement.

Consultant represents to the Company that its Consultant’s performance of all of the terms of this Agreement agreement does not and will not breach any agreement to keep in confidence proprietary information information, knowledge or trade secrets data acquired by Consultant in confidence or in trust prior to its or during Consultant’s engagement by with the Company, and Consultant will shall not disclose to the Company, Company or induce the Company to use, use any confidential or proprietary information or material belonging to any previous employer or others. Consultant agrees shall not to enter into any agreement, either written or oral, in conflict with this Agreementherewith.
