Trademark Assignments. The several Trademark Assignments, dated or to be --------------------- dated on or prior to the Closing Date, made by the Borrower and the Guarantors, in favor of the Agent and in form and substance satisfactory to the Banks and the Agent.
Trademark Assignments. Concurrently herewith the Borrowers are executing and delivering to the Administrative Agent, for the benefit of the Lenders and the Administrative Agent, the Trademark Assignment pursuant to which the Borrowers are assigning to the Administrative Agent, for the benefit of the Lenders and the Administrative Agent, certain Collateral consisting of trademarks, service marks and trademark and service xxxx rights, together with the goodwill appurtenant thereto. Neither the delivery of, nor anything contained in, the Trademark Assignment shall be deemed to prevent or postpone the time of attachment or perfection of any security interest in such Collateral created hereby.
