Trademark Maintenance. Licensor shall maintain in full force and effect, for the term of this Agreement, all patents, copyrights and trademarks currently in place with respect to the Property, and shall keep Licensee fully and promptly informed of any changes to any such patents, copyrights and trademarks, specifically including any lapses or termination of any such patents, copyrights and trademarks.
Trademark Maintenance. Without prejudice to any other term of this Agreement (including, without limitation, Articles 14 and 15), Franchisor undertakes to use its commercially reasonable best efforts to maintain and defend the Trademark during the term of this Agreement. Notwithstanding the foregoing in this Article 9.4, the Parties agree that Franchisor may in its sole discretion at any time during the term of this Agreement make changes to the IP Rights, including, without limitation, by amending the Trademark and/or any of the marketing intangibles and/or by amending, adding and/or removing trademark registrations from the scope of the license grant.
Trademark Maintenance. During the Term of this Agreement, ABI at its own cost, will be responsible for maintaining and renewing registrations for the Licensed Marks. AB will cooperate with ABI in its efforts to protect the Licensed Marks in Brazil, including exerting its best efforts to exploit the Licensed Marks so as to maintain their validity in the territory of Brazil. ABI will timely notify AB of its decision not to maintain registration for any of the Licensed Marks in Brazil. If registration of AB as a registered user of the Licensed Marks is required, AB will bear all expenses, including government fees and attorney and trademark agent fees, relating to such registration.
Trademark Maintenance. Without prejudice to any other term of this Agreement (including, without limitation, Articles 13 and 14), DIAG undertakes to use its commercially reasonable best efforts to maintain and defend the Trademark during the term of this Agreement. Notwithstanding the foregoing in this Article 8.3, the Parties agree that DIAG may in its sole discretion at any time during the term of this Agreement make changes to the IP Rights, including, without limitation, by amending the Trademark and/or any of the marketing intangibles and/or by amending, adding and/or removing trademark registrations from the scope of the license grant.
Trademark Maintenance. The Company will not do any act or omit to --------------------- do any act whereby any Company trademark or any trademark licensed by the Company may become abandoned or rendered invalid and shall take all such actions necessary to maintain the validity of all such trademarks. The Company will maintain its trademarks in full force and effect and free from any claim of abandonment for non-use.
Trademark Maintenance. Subject to any agreement to the contrary between Aventis and TKT, TKT will be responsible for registering and maintaining Trademarks at its own expense, and Aventis will be responsible for registering and maintaining trademarks contained within Aventis Technology.
Trademark Maintenance. If TMC elects to abandon its use of the Trademarks then it will give at least 60 days advance notice to ALZA. In such case, ALZA (or its designated Affiliate) may elect in its own discretion to continue the prosecution, issuance and maintenance of any such Trademarks and require TMC to assign such Trademarks to ALZA (or its designated Affiliate) and any associated goodwill, without compensation to TMC.
Trademark Maintenance. Masimo shall bear the expense of obtaining and maintaining its Licensed Trademarks.
Trademark Maintenance. GSK will be responsible for registering and maintaining GSK Trademarks and Genmab will be responsible for registering and maintaining Product Tradenames until such time as they are assigned to GSK pursuant to Clause 8.1(L), and the [***] trademark, [***].
Trademark Maintenance. (a) Alkermes shall be solely responsible for filing, prosecuting, and maintaining all of the Trademarks, and Alkermes shall pay the costs associated therewith, Alkermes shall file, prosecute, and maintain all Trademarks so as to fully continue the benefits under the licenses granted to KU hereunder. In the event that any extension, registration, confirmation, renewal or reexamination is to be filed with respect to a Trademark, Alkermes shall provide KU with the opportunity to review such extension, registration, confirmation, renewal or reexamination and provide input thereto.
