TRADING IN ARSENAL AND MANCHESTER SHARES. For so long as Manchester continues to own, directly or indirectly, such number of Arsenal Shares that as a percentage of the then outstanding Arsenal Shares is equal to or greater than 5.0%, Arsenal and Manchester agree to work together in good faith to, where appropriate: (a) maintain all existing internal controls for monitoring and regulating the appropriate flow of inside information between Arsenal and Manchester; and (b) maintain all agreed protocols for trading in Arsenal Shares and shares of Manchester common stock.
