Common use of Transaction Expenses Clause in Contracts

Transaction Expenses. The Borrower shall promptly on demand pay the Agent the amount of all costs and expenses (including legal fees in amounts agreed by the Borrower) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiationregistration, preparation, printing, printing and execution and syndication of: (a) of this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and the Arrangers the amount of all costs and out-of-pocket expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent the amount of all documented costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution perfection, execution, registration and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay pay, upon presentation of duly documented evidence thereof, the Agent Agents and the Mandated Lead Arrangers the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably and directly incurred by any of them (and in respect of which prior notice has have previously been given to agreed with the Borrower) Borrower in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Financing Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution perfection, execution, registration and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and each of the Lenders the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiationregistration, preparation, printing, printing and execution and syndication of: (a) of this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Borrower shall promptly on demand pay the Agent and the Mandated Lead Arrangers the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent the amount of all costs and expenses (including including, but not limited to, external legal fees in amounts agreed by the Borrower(including VAT) and out-of-pocket expenses) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) it in connection with the negotiation, preparation, printing, execution and entry into, execution, syndication or distribution of information of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, printing and execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and each of the Arrangers the amount of all reasonable costs and expenses (including legal fees in amounts on and subject to the terms agreed by with the Borrowerrelevant Party’s legal advisers) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, printing and execution and syndication of: (aA) this Agreement and any other documents referred to in this Agreement; and (bB) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerand accounting fees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) it in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other documents (including any Finance Documents Documents) prepared and/or executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and the Arrangers the amount of all documented costs and expenses (including reasonable legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent the amount of all documented costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) Finance Parties in connection with the negotiation, preparation, printing, execution perfection, execution, registration and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this AgreementClosing Date.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent whether or not the Commitment is drawn the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerand any VAT payable thereon) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) it in connection with the negotiation, preparation, printing, printing and execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees in amounts agreed and fees relating to publicity which has been approved by the Borrower) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent the amount of all documented costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution perfection, execution, registration and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given up to the maximum amounts, if any, agreed by the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower Borrowers shall promptly on demand pay the Agent whether or not any Commitment is drawn the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerand any VAT payable thereon) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) it in connection with the negotiation, preparation, printing, printing and execution and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent the amount of all documented costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) Finance Parties in connection with the negotiation, preparation, printing, execution perfection, execution, registration and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay to the Agent and the Arranger the amount of all costs and expenses (including internal and external legal fees in amounts agreed by the Borrowerfees/costs, collateral fees, also including all out-of-pocket expenses such as travel, telephone, fax, postage, printing and courier deliveries) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printingperfection, execution execution, registration, distribution of information under and syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the each Agent the amount of all reasonable, documented out-of-pocket costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and and, in respect the case of which prior notice has been given to the BorrowerSecurity Agent, by any Receiver or Delegate) in connection with the negotiation, preparation, printing, execution execution, syndication and syndication perfection of: (a) this Agreement and any other documents referred to in this AgreementAgreement and the Transaction Security; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Borrower shall promptly on demand pay the Agent the amount of all costs and expenses (including legal fees in amounts agreed by the Borrowerfees) reasonably incurred and properly evidenced by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, execution and syndication of:of – (a) 18.1.1 this Agreement and any other documents referred to in this Agreement; and (b) 18.1.2 any other Finance Documents executed after the date of this AgreementSignature Date.

Transaction Expenses. The Borrower shall promptly on demand pay (or procure such payment to) the Agent and the Arranger the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees in amounts agreed by the Borrowerfees) reasonably incurred by any of them (and in respect of which prior notice has been given to the Borrower) in connection with the negotiation, preparation, printing, printing and execution and syndication of: (a) of this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.
