Transactions Involving Affiliates. The validity of a transaction, agreement or payment involving the Limited Partnership and an Affiliate of the General Partner is not affected by reason of the relationship between the General Partner and the Affiliate or by reason of the approval or lack thereof of the transaction, agreement or payment by the directors of the General Partner, all of whom may be officers, directors, or employees of, or otherwise interested in or related to such Affiliate.

Transactions Involving Affiliates. The validity of a any bona fide transaction, agreement or payment involving the Limited Partnership and an Affiliate of the General Partner is shall not be affected by reason of the relationship between the General Partner and the Affiliate such person or by reason of the approval or lack thereof of the transaction, agreement or payment by the directors of the General Partner, all of whom may be officers, directors, officers or employees of, directors of or otherwise interested in or related to such Affiliate.

Transactions Involving Affiliates. The General Partner is expressly permitted to borrow money for the account of the Partnership from an Affiliate of the General Partner provided such Affiliatetransaction is on reasonable commercial terms.

The validity of a transaction, agreement or payment involving the Limited Partnership and an Affiliate of the General Partner or Associate permitted under this Agreement and made on reasonable terms is not affected by reason of the relationship between the General Partner and the Affiliate or by reason of Associate or the approval or lack thereof of the transaction, agreement or payment by the directors of the General Partner, Partner all of whom may be officers, directors, officers or employees of, directors or are otherwise interested in or related to such the Affiliate.
