Common use of Transfer Agent Fees and Legal Fees Clause in Contracts

Transfer Agent Fees and Legal Fees. The issuance of the certificates shall be without charge or expense to the Holder. The Company shall pay any and all Transfer Agent fees, legal fees, and advisory fees required for execution of this Convertible Note and processing of any Notice of Conversion, including but not limited to the cost of obtaining a legal opinion with regard to the conversion. The Holder will deduct legal fees in the amount of $1,000 from the principal payment of the Convertible Note. The Holder will deduct 3rd party due diligence fees in the amount of $5,000 due Cxxxxx, Txxxx, & Co.
