Common use of Transfer Agent; Transfer Sheets Clause in Contracts

Transfer Agent; Transfer Sheets. For a period of five (5) years after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. Computershare Trust Company, N.A. is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

For a period of five one (51) years year after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. Computershare Trust Securitize, LLC, formerly Pacific Stock Transfer Company, N.A. is acceptable to the Representative to act as Transfer Agent for the shares of Common Stock.

For a period of five (5) years after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative Underwriter (the “Transfer Agent”) and shall furnish to the Representative Underwriter at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative Underwriter may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. Computershare Trust Company, N.A. VStock Transfer LLC is acceptable to the Representative Underwriter to act as Transfer Agent for the shares of Common Stock.

For a period of five one (51) years year after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of such transfer agent and DTC. Computershare Trust Company, N.A. is acceptable to the Representative to act as Transfer Agent transfer agent for the shares of Common StockStock and warrant agent for the Warrants.

Computershare Trust Company, N.A. Transhare Corporation is acceptable to the Representative Representatives to act as Transfer Agent for the shares of Common Stock.

For a period of five two (52) years after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representative (the “Transfer Agent”) and shall furnish to the Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. Computershare Trust Company, N.A. Investor Services Inc. is acceptable to the Representative to act as Transfer Agent for the shares of Common StockShares.
