Common use of Transfer and Other Taxes Clause in Contracts

Transfer and Other Taxes. (i) All amounts payable hereunder are exclusive of all recordation, transfer, documentary, excise, sales, value added, use, stamp, conveyance or other similar Taxes (other than Taxes based on or attributable to income or gains), duties or governmental charges, and all recording or filing fees or similar costs, imposed or levied by reason of, in connection with or attributable to this Agreement or the transactions contemplated hereby (collectively, “Transfer Taxes”). All refundable Transfer Taxes shall be borne by BioMarin, and BioMarin shall be entitled to any and all refunds and credits attributable to the payment or incurrence of such Transfer Taxes. Non-refundable Transfer Taxes shall be borne equally by BioMarin and Merck Serono, and Tax Returns relating to such Transfer Taxes shall be prepared by BioMarin unless the Parties agree otherwise. Each Party shall use commercially reasonable efforts to obtain any available exemption from such Transfer Taxes and to cooperate with the other Party in providing any information or documentation that may be necessary to obtain such exemptions. (ii) All personal property and similar ad valorem obligations levied with respect to the Transferred Assets for a Taxable period which begins on or before (but does not end on) the Transfer Time (collectively, the “Apportioned Obligations”) shall be apportioned between Merck Serono and BioMarin based on the number of days of such Taxable period ending on the Transfer Time (such portion of such Taxable period, the “Pre-Termination Tax Period”) and the number of days of such Taxable period beginning the day after the Transfer Time (such portion of such Taxable period, the “Post-Termination Tax Period”). Merck Serono shall be liable for the proportionate amount of such Apportioned Obligations that is attributable to the Pre-Termination Tax Period, and BioMarin shall be liable for the proportionate amount of such Apportioned Obligations that is attributable to the Post-Termination Tax Period. (iii) Transfer Taxes and Apportioned Obligations shall be timely paid, and all applicable Tax Returns and similar filings, shall be timely filed, as provided by this Agreement and Law. The paying Party shall be entitled to reimbursement from the non-paying Party in accordance with Section 6.07(b)(i) or Section 6.07(b)(ii), as applicable. Upon payment of any such Transfer Tax or Apportioned Obligation, the paying Party shall present a statement to the non-paying Party setting forth the amount of reimbursement to which the paying Party is entitled under Section 6.07(b)(i) or Section 6.07(b)(ii), as applicable, together with such supporting evidence as is reasonably necessary to calculate the amount to be reimbursed. The non-paying Party shall make such reimbursement promptly but in no event later than 10 days after the presentation of such statement. (iv) Merck Serono shall be responsible for the timely payment of, and shall indemnify, defend and hold harmless the BioMarin Indemnitees from, all Excluded Merck Serono Tax Liabilities. BioMarin shall be responsible for the timely payment of, and shall indemnify, defend and hold harmless the Merck Serono Indemnitees from, all Excluded BioMarin Tax Liabilities.

(iv) Merck Serono shall be responsible for the timely payment of, and shall indemnify, defend and hold harmless the BioMarin Indemnitees from, all Excluded Merck Serono Tax Liabilities. BioMarin shall be responsible for the timely payment of, and shall indemnify, defend and hold harmless the Merck Serono Indemnitees from, all Excluded BioMarin Tax Liabilities.

(iib) All real property, personal property and similar ad valorem obligations Taxes (“Property Taxes”) levied with respect to the Transferred Purchased Assets for a Taxable period which begins on or before (but does not end on) the Transfer Time (collectively, the “Apportioned Obligations”) Straddle Period shall be apportioned between Merck Serono Buyer and BioMarin Seller on a per diem basis based on the number of days of such Taxable period ending on Straddle Period included in the Transfer Time (such portion of such Taxable period, the “Pre-Termination Closing Tax Period”) Period and the number of days of such Taxable period beginning Straddle Period included in the day after the Transfer Time (such portion of such Taxable period, the “Post-Termination Closing Tax Period”). Merck Serono Seller shall be liable for the proportionate amount of such Apportioned Obligations that is Property Taxes attributable to the Pre-Termination Closing Tax Period, Period and BioMarin Buyer shall be liable for the proportionate amount of such Apportioned Obligations that is Property Taxes attributable to the Post-Termination Closing Tax Period. (iiic) Transfer Taxes and Apportioned Obligations shall be timely paid, and all applicable Tax Returns and similar filings, shall be timely filed, as provided by this Agreement and Law. The paying Party Seller shall be entitled to reimbursement retain, or receive immediate payment from the non-paying Party in accordance Buyer of, any refund or credit with Section 6.07(b)(i) respect to Taxes (including refunds and credits arising by reason of amended Tax Returns filed on or Section 6.07(b)(ii), as applicable. The non-paying Party shall make such reimbursement promptly but in no event later than 10 days after the presentation of such statementClosing Date or otherwise) with respect to any Pre-Closing Tax Period related to Seller or the Facility. Seller and Buyer shall equitably apportion any refund or credit with respect to Taxes with respect to a Straddle Period in a manner consistent with the principles set forth in this Section 6.01. (ivd) Merck Serono Seller and Buyer shall provide the other with such information and records and make such of its officers, directors, employees and agents available as may reasonably be requested by such other party in connection with the preparation of any Tax Return or any audit or other proceeding that relates to the Facility or the Purchased Assets. Any such information, records and/or access to personnel shall be responsible for the timely payment ofprovided as soon as reasonably practicable after receiving a related request, and shall indemnifyin any case within 30 days of such request unless the party required to provide the information or records has first notified the requesting party that such party is likely to require longer than 30 days to locate or collect the relevant information or records, defend and hold harmless in which case such party must provide such information or records as soon as reasonably practicable in light of the BioMarin Indemnitees from, all Excluded Merck Serono Tax Liabilities. BioMarin shall be responsible for the timely payment of, and shall indemnify, defend and hold harmless the Merck Serono Indemnitees from, all Excluded BioMarin Tax Liabilitiescircumstances.
