Transfer and Recording Charges. At Closing, Seller and Buyer shall equally share the expense for all real estate transfer taxes, recording taxes or documentary stamps imposed by any governmental authority on the Seller's Deed to Buyer. Seller shall bear the cost of recording the satisfaction of any mortgages discharged by Seller at Closing and the cost of any other closing or recording charges normally paid by a seller in a real estate transaction in the state and county where the Property is located. Buyer shall bear the cost of recording charges in order to record the Seller's Deed, the cost of any expenses associated with the giving or recording of any mortgage given by Buyer in connection with its acquisition of the Property, any title insurance premiums, survey costs and the cost of any other closing or recording charges.

  • Recording Costs Seller agrees to reimburse the Trustee or its designee all recording and filing fees and expenses incurred by the Trustee or its designee in connection with the recording or filing of the Mortgage Loan Documents listed in Section 3 of this Agreement, including Assignments. In the event Seller elects to engage a third party contractor to prepare, complete, file and record Assignments with respect to Mortgage Loans as provided in Section 3 of this Agreement, Seller shall contract directly with such contractor and shall be responsible for such contractor's compensation and reimbursement of recording and filing fees and other reimbursable expenses pursuant to their agreement.

  • Recording, Etc (a) The Issuer intends the Security Interest granted pursuant to this Indenture in favor of the Indenture Trustee to be prior to all other liens in respect of the Collateral. Subject to Section 1303, the Issuer will take all actions necessary to obtain and maintain a perfected lien on and security interest in the Collateral in favor of the Indenture Trustee.   • Valid Transfer and Security Interest This Agreement constitutes a grant of a security interest in all of the Collateral Portfolio to the Trustee, for the benefit of the Secured Parties, which upon the delivery of the Required Loan Documents to the Collateral Custodian, the crediting of Loan Assets to the Controlled Accounts and the filing of the financing statements, shall be a valid and first priority perfected security interest in the Loan Assets forming a part of the Collateral Portfolio and in that portion of the Loan Assets in which a security interest may be perfected by filing subject only to Permitted Liens. Neither the Borrower nor any Person claiming through or under Borrower shall have any claim to or interest in the Controlled Accounts and, if this Agreement constitutes the grant of a security interest in such property, except for the interest of the Borrower in such property as a debtor for purposes of the UCC.
