Common use of Transfer and Similar Taxes Clause in Contracts

Transfer and Similar Taxes. There are no Transfer Taxes and no capital gains, income, withholding or other taxes required to be paid by or on behalf of the Underwriters in any applicable taxing jurisdiction or any political subdivision or taxing authority thereof in connection with: (i) the offer, sale and delivery by such Selling Shareholder of the Shares to or for the respective accounts of such Underwriters; (ii) the sale and delivery by such Underwriters of the Shares to the initial purchasers thereof; (iii) the execution and delivery of this Agreement or any payment to be made pursuant to this Agreement; and (iv) the consummation of the transactions contemplated by this Agreement.
