Common use of Transfer by the Private Party Clause in Contracts

Transfer by the Private Party. The Private Party may not without the prior written consent of SANParks, cede, assign or transfer: 18.1.1 this PPP Agreement or any Associated Agreement; 18.1.2 any of its rights, interests or obligations there under; or 18.1.3 any of its assets, save, in each case, to the extent required for the financing of the Project as envisaged in the Loan Agreements.

Transfer by the Private Party. The Private Party may not not, without the prior written consent of SANParks, cede, assign delegate, assign, encumber or transfer: 18.1.1 34.1.1 this PPP Agreement or any Associated Agreement;; or 18.1.2 34.1.2 any of its rights, interests or obligations there under; or 18.1.3 any of its assetsthereunder, save, in each case, to the extent required for the financing of the Project operation of the Phalaborwa Safari Lodge as envisaged in the Loan Financing Agreements, and in terms of the provisions of Clause 34.2.

The Private Party may not without the prior written consent of SANParks, sub-let, cede, assign or transfer: 18.1.1 30.1.1 this PPP Agreement or any Associated Agreement;; or 18.1.2 30.1.2 any of its rights, interests or obligations there underthereunder; or 18.1.3 any of its assets, save, in each case, to the extent required for the financing of the Project operation of the Spa Facility as envisaged in the Loan Agreements, and in terms of the provisions of Clause 30.2.

The Private Party may not without the prior written consent of SANParks, sub-let, cede, assign or transfer: 18.1.1 29.1.1 this PPP Agreement or any Associated Agreement;; or 18.1.2 29.1.2 any of its rights, interests or obligations there underthereunder; or 18.1.3 any of its assets, save, in each case, to the extent required for the financing of the Project operation of the Camp as envisaged in the Loan Agreements, and in terms of the provisions of Clause 29.2.
