Transfer; Conveyance; Assignment. (a) Except as otherwise permitted hereunder, Xxxxxx agrees for itself and its successors and assigns in interest hereunder that it will not (1) assign this Lease or any of its rights under this Lease as to all or any portion of the Premises generally, or (2) make or permit any voluntary or involuntary total or partial sale, lease, assignment, conveyance, mortgage, pledge, encumbrance or other transfer of any or all of the Premises, or the Improvements, or the occupancy and use thereof, other than in accordance with the Applicable Public Housing and/or RAD Requirements and this Lease (including, but not limited to (i) any sale at foreclosure or by the execution of any judgment of any or all of Tenant’s rights hereunder, or (ii) any transfer by operation of law), without first obtaining Landlord’s express written consent thereto, which shall not be unreasonably withheld.
Transfer; Conveyance; Assignment a. No transfer, conveyance or assignment shall be made, without the prior written approval of the non-transferring party, of (i) any majority interest in Tenant (any such interest being referred to as a “Controlling Interest”); or (ii) any interest in this Lease in conflict with the terms and conditions set forth herein.
