TRANSFER, EXCHANGE AND CONVERSION OF CAPITAL STOCK. The Company shall keep at its principal office a register in which shall be entered the names and addresses of the holders of the capital stock of the Company and particulars of the respective shares of Common Stock, Preferred Stock (including the classes thereof) and Warrants held by them and of all transfers, exchanges, conversions and redemptions of such capital stock. Upon surrender at such office or such other place as shall be duly specified by the Company of any certificate representing shares of capital stock for exchange or (subject to compliance with the applicable provisions of this Agreement, including the conditions set forth in Section 6.5) transfer or for exchange or conversion, the Company shall as appropriate issue, at its expense, one or more new certificates in such denomination or denominations as may be requested, and registered as such holder may request. Any certificate representing shares of capital stock surrendered for registration or transfer shall be duly endorsed, or accompanied by a written instrument of transfer duly executed by the holder of such certificate or his attorney duly authorized in writing. The Company will pay shipping and insurance charges, from and to each holder's principal office, upon any transfer, exchange or conversion provided for in this Section 6.4.

  • Conversion of Company Preferred Stock The Company shall have completed the conversion of all issued and outstanding Company Preferred Stock to Company Common Stock.
