Common use of Transfer Fees and Expenses Clause in Contracts

Transfer Fees and Expenses. If any Lender causes the transfer of all or any part of its rights, benefits and/or obligations under this Agreement, it shall pay to the Facility Agent for its own account a registration fee of one thousand Dollars (USD1,000) for each transfer, and shall also pay to the Facility Agent on demand all costs, fees and expenses (including, but not limited to, legal fees and expenses), and all value added tax thereon, certified by the Facility Agent as having been incurred by it in connection with such transfer.

If any Lender causes the transfer of all or any part of its rights, benefits and/or obligations under this AgreementAgreement or the Security Documents, it shall pay or procure that the Transferee Lender pays to the Facility Agent for its own account a registration fee of one thousand Dollars (USD1,000) USD 1,000 for each transfer, and shall also pay to the Facility Agent on demand all out of pocket costs, fees and expenses (including, but not limited to, legal fees and expenses), and all value added tax thereon, certified by the Facility Agent as having been reasonably and properly incurred by it in connection with such transfer.
