Common use of Transfer Fees and Expenses Clause in Contracts

Transfer Fees and Expenses. If any Bank causes the transfer of all or any part of its rights, benefits and/or obligations under the Security Documents, it shall pay to the Agent for its own account a registration fee of $1,000 for each transfer, and shall also pay to the Agent on demand all costs, fees and expenses (including, but not limited to, legal fees and expenses), and all VAT 125 thereon, certified by the Agent as having been reasonably incurred by it in connection with such transfer.
