Transfer in Violation of Agreement. 22.1 Any transfer or attempted transfer of any Promoters' Securities in violation of any provision of this Agreement shall be void, and the Company shall not record such transfer on its books or treat any purported transferee of such Promoters’ Securities as the owner of such Promoters’ Securities for any purpose and the Promoters shall not do any Act, deed or thing to facilitate such transfer.
