Transfer Not Subject to Right of First Refusal. The Right of First Refusal shall not apply to a transfer of shares of the Stock to the Founder's ancestors, descendants or spouse or to a trustee for their benefit or the benefit of the Founder, provided that such transferee shall agree in writing (in a form satisfactory to the Company) to take the shares of Stock subject to all the terms and conditions of this Section 3.
