Transfer of any rights and obligations. The Client may not transfer, assign, charge or otherwise deal in the Agreement, or any of the Client's rights or obligations arising under the Agreement, without PayFit's prior written consent. PayFit may, without the Client's consent but after having notified the Client, sub-contract, transfer or assign all or any parts of its rights or obligations under the Agreement to any PayFit affiliate or third party.

  • Transfer of rights and obligations The Contract between You and us is binding on You and us and on our respective successors and assigns.   • Trustee’s Rights and Obligations The Trustee is entitled to receive, and will be fully protected in relying upon, an Opinion of Counsel stating that the execution of any amendment, supplement or waiver authorized pursuant to this Article is authorized or permitted by the Indenture.
