Common use of Transfer of Data Clause in Contracts

Transfer of Data. 10.1 If applicable, upon request by the Government prior to or after the effective date of termination, you will make available to Government a complete and secure (i.e. encrypted and appropriately authenticated) file of Government data in a format to be agreed at the time including all schematics and transformation definitions and/or delimited text files with documented, detailed schematic definitions along with attachments in their native format. 10.2 You will be available throughout this transfer of data period to answer questions and provide assistance in regards to this data transfer.
