CONFIDENTIALITY AND SECURITY OF INFORMATION. 10.1 Restraints on use or disclosure: Each party agrees that it will not without the prior written consent of the other use confidential data or disclose confidential data to any person other than those of its officers, employees and advisers essential to the implementation of the provisions contained in it or as required by law (including by the Act, regulations or Code) or under the Standing Orders of the New Zealand House of Representatives. Except to the extent it is transferred under clause 10.6, the Provider must at its own expense store all data and processed data held by the Provider as pricing manager.

The Reinsurer and the Ceding Company recognize that the business of reinsurance requires the transmission, use, and storage of "non-public personal information" (as the term is defined in the Gramm-Leach-Bliley Act and applicable regulations promulgated thereunder) (xxxxxx xxx "Xxxxxmation") about proposed, current, and former owners, insureds, applicants, and beneficiaries (collectively, "Customers"), and both parties are committed to conduct business in a manner that provides the required security for the Information. 1. The Reinsurer acknowledges that it has and/or will receive Information about Customers from the Ceding Company. The Reinsurer and the Ceding Company agree to transmit Information only through reasonably secure transmission devices including, when appropriate, encrypted electronic transmission.
2. The Reinsurer agrees to treat Information as confidential and to maintain its confidentiality by, among other things, maintaining a reasonably secure system for handling the Information and exercising no less than that degree of care the Reinsurer exercises with respect to its own information of a similar nature that it does not wish to be disclosed to a third party. In that regard, and without limitation, the Reinsurer agrees to employ the following practices:
a) The Reinsurer will advise employees who receive Information of the obligation of confidentiality under this Agreement (the Ceding Company agrees that communication by the Reinsurer to its employees of a general policy regarding confidentiality of customer information, including information about customers of ceding companies, is sufficient to satisfy this clause.); and
b) Except as required by law, the Reinsurer will not disclose Information to third parties without the consent of the Ceding Company; however, the Ceding Company agrees that the Reinsurer may, in the normal course of its business, share Information with other insurance and reinsurance companies ("Retrocessionaires") to the extent necessary to retrocede risk to the Retrocessionaires, so long as the Retrocessionaires have agreed to maintain the confidentiality of the Information on terms substantially similar to this Agreement.

The safeguarding of proprietary and protected health information (PHI) is a vital part of UMHS’s commitment to serve patients, employees and the community. Therefore, access privilege for non- employees to information systems and to the electronic medical record is granted only if a clear and justifiably valid business or clinical need exists and only for a renewable term of one year, unless otherwise terminated by UMHS. • I may have access to proprietary or confidential information about patients (“sensitive information”). a) keep strictly confidential all information concerning Her Majesty and/or third parties, or any of the business or activities of Her Majesty and/or third parties acquired as a result of participation in this Contract;
b) only use, copy or disclose such information as necessary for the performance of this Contract or upon written authorization of Her Majesty;
c) if applicable, prior to allowing any third party access to computer hardware, including loaner or replacement computer hardware, used by Her Majesty, Her Majesty's employees, subcontractors or agents, determine whether the computer hardware contains any information or software because of such use, and contact and follow the instructions of Her Majesty, if such information or software is present;
