Transfer of DBSI Donated Property to City. On the Closing Date set forth herein, DBSI Pristine shall execute and deliver to the City, a Special Warranty Deed for the DBSI 4845-6210-6139.1 Donated Property, free of all encumbrances and encroachments, except for the exceptions contained in the commitment for title insurance approved by the City as set forth in Section 4.1 herein. The transfer of the DBSI Donated Property shall include all water rights and/or irrigation shares associated with or located upon the transferred property.

  • Transfer of Interest The Interest is personal property and may be transferred or assigned, in whole or in part, as permitted by the Equityholders Agreement, in the sole discretion of the Member. Notwithstanding anything to the contrary set forth herein, no Interest in the Company may be issued, transferred or pledged in any manner whatsoever except in compliance with all applicable Gaming Licenses and Gaming Laws, except as contemplated by Section 9.2.
