Transfer of Employment during Performance Period. In the event that the Employee transfers employment during the Performance Period from an Employer to an Affiliate that is not an Employer, then the adjustment described in Section 2(a) based on the achievement of Performance Measures during the Performance Period shall be pro-rated for such Employee (regardless of whether such adjustment would increase or decrease the number of shares subject to the Award), with such pro-ration measured by a fraction, of which the numerator is the number of days of the Performance Period during which the Employee’s employment with the Employer continued, and the denominator is 365 (i.e., the total number of days of the Performance Period).
