Transfer of Employment of Certain Xxxxxxx Employees. Dover and Xxxxxxx will use reasonable efforts to cause the employment of any individual who Dover designates as a Xxxxxxx Employee and who is not employed by the Xxxxxxx Group as of the Plan Separation Date to be transferred to the Xxxxxxx Group prior to the Effective Time. Each such individual shall be deemed to be a Xxxxxxx Employee and the Parties shall use their reasonable efforts to effect the provisions of this Agreement with respect to the compensation and benefits of such individuals following such transfer.
