Common use of Transfer of Environmental Attributes Clause in Contracts

Transfer of Environmental Attributes. For and in consideration of Buyer entering into this Agreement, and in addition to the agreement by Buyer and Seller to purchase and sell Facility Energy on the terms and conditions set forth herein, Seller shall transfer to Buyer, and Buyer shall receive from Seller, all right, title, and interest in and to all Environmental Attributes, whether now existing or acquired by Seller or that hereafter come into existence or are acquired by Seller during the Delivery Term, for all Facility Energy and Replacement Energy. Environmental Attributes that are in, or that shall come into, existence with respect to Energy generated by a Facility that serves Parasitic Load shall be transferred by Seller to and received by Buyer. Seller agrees to transfer and make such Environmental Attributes available to Buyer immediately to the fullest extent allowed by applicable law upon Seller’s production or acquisition of the Environmental Attributes. Seller shall not assign, transfer, convey, encumber, sell or otherwise dispose of all or any portion of such Environmental Attributes to any Person other than Buyer or attempt to do any of the foregoing with respect to any of the Environmental Attributes. The consideration for the transfer of Environmental Attributes is contained within the relevant prices for Delivered Energy under Articles VI and IX and Appendix A.

Environmental Attributes that are in, or that shall come into, existence with respect to Energy generated by a the Facility that serves Parasitic constitues Station Service or Seller’s Load Requirements also shall be transferred by Seller to to, and received by by, Buyer. Seller agrees to transfer and make such Environmental Attributes available to Buyer immediately to the fullest extent allowed by WREGIS, the RPS Law, CEC regulations or other applicable law upon Seller’s production or acquisition of the Environmental Attributes. Seller shall not assign, transfer, convey, encumber, sell or otherwise dispose of all or any portion of such Environmental Attributes to any Person other than Buyer or attempt to do any of the foregoing with respect to any of the Environmental Attributes. The consideration for the transfer of Environmental Attributes is contained within the relevant prices for Delivered Facility Energy under Articles VI and IX and Appendix A.

For and in consideration of Buyer entering into this Agreement, and in addition to the agreement by Buyer and Seller to purchase and sell SCPPA Facility Energy on the terms and conditions set forth herein, Seller shall transfer to Buyer, and Buyer shall receive from Seller, all right, title, and interest in and to all Environmental Attributes, whether now existing or acquired by Seller or that hereafter come into existence or are acquired by Seller during the Delivery Agreement Term, for all when the SCPPA Facility Energy and or Replacement Energy. Environmental Attributes that are in, or that shall come intoas applicable, existence with respect to Energy generated by a Facility that serves Parasitic Load shall be transferred is delivered by Seller to and received by BuyerBuyer at the Point of Interconnection or, in the case of Replacement Energy, at the respective Points of Delivery therefor. Seller agrees to transfer and make such Environmental Attributes available to Buyer immediately to the fullest extent allowed by applicable law upon Seller’s production or acquisition of the Environmental Attributes. Seller shall represents that it has not assigned, transferred, conveyed, encumbered, sold or otherwise disposed of and covenants that it will not in the future, except as permitted by this Agreement, assign, transfer, convey, encumber, sell or otherwise dispose of all or any portion of such Environmental Attributes to any Person other than Buyer or attempt to do any of the foregoing with respect to any of the Environmental Attributes. The Buyer and Seller acknowledge and agree that the consideration for the transfer of Environmental Attributes is contained within the relevant prices for Delivered the SCPPA Facility Energy under Articles VI or Replacement Energy, as applicable, that is delivered by Seller and IX and Appendix A.received by Buyer.

For and in consideration of Buyer entering into this Agreement, and in addition to the agreement by and between Buyer and Seller to purchase and sell Facility Delivered Energy on the terms and conditions set forth herein, Seller shall transfer to Buyer, and Buyer shall receive from Seller, all right, title, and interest in and to all Environmental Attributes, free and clear of all Liens, whether now existing or acquired by Seller or that hereafter come into existence or are acquired by Seller during the Delivery Agreement Term, for all Facility Energy and Replacement Energy. Environmental Attributes that are in, or that shall come into, existence with respect to Energy generated by a Facility that serves Parasitic Load shall be transferred by Seller to and received by Buyer. Seller agrees to transfer and make available to Buyer such Environmental Attributes available to Buyer immediately to the fullest extent allowed by applicable law immediately upon Seller’s production or acquisition of the Environmental Attributes. Seller shall represents and covenants that it has not assigned, transferred, conveyed, encumbered, sold or otherwise disposed of and will not in the future assign, transfer, convey, encumber, sell or otherwise dispose of all or any portion of such Environmental Attributes to any Person other than Buyer or attempt to do any of the foregoing with respect to any of the Environmental Attributes. The Buyer and Seller acknowledge and agree that the consideration for the transfer of Environmental Attributes is contained within Contract Price and Excess Energy Price. If at any xxxx Xxxxxx becomes obligated to obtain pollution or environmental credits or offsets in order to own, operate or maintain the relevant prices for Delivered Energy under Articles VI Facility in compliance with the Requirements of Law, Seller shall ensure that such credits or offsets are obtained in Seller’s own name and IX at Seller’s sole cost and Appendix A.expense. In no event shall Seller use any Environmental Attributes to satisfy the foregoing obligation.
