Common use of Transfer of Environmental Attributes Clause in Contracts

Transfer of Environmental Attributes. For and in consideration of Buyer entering into this Agreement, and in addition to the agreement by Buyer and Seller to purchase and sell Facility Energy on the terms and conditions set forth herein, Seller shall transfer to Buyer, and Buyer shall receive from Seller, all right, title, and interest in and to all Environmental Attributes, whether now existing or acquired by Seller or that hereafter come into existence or are acquired by Seller during the Delivery Term, for all Facility Energy. Environmental Attributes that are in, or that shall come into, existence with respect to Energy generated by the Facility that constitues Station Service or Seller’s Load Requirements also shall be transferred by Seller to, and received by, Buyer. Seller agrees to transfer and make such Environmental Attributes available to Buyer immediately to the fullest extent allowed by WREGIS, the RPS Law, CEC regulations or other applicable law upon Seller’s production or acquisition of the Environmental Attributes. Seller shall not assign, transfer, convey, encumber, sell or otherwise dispose of all or any portion of such Environmental Attributes to any Person other than Buyer or attempt to do any of the foregoing with respect to any of the Environmental Attributes. The consideration for the transfer of Environmental Attributes is contained within the relevant prices for Facility Energy under Articles VI and IX and Appendix A.

Seller shall represents that it has not assigned, transferred, conveyed, encumbered, sold or otherwise disposed of and covenants that it will not in the future, except as permitted by this Agreement, assign, transfer, convey, encumber, sell or otherwise dispose of all or any portion of such Environmental Attributes to any Person other than Buyer or attempt to do any of the foregoing with respect to any of the Environmental Attributes. The Buyer and Seller acknowledge and agree that the consideration for the transfer of Environmental Attributes is contained within the relevant prices for the SCPPA Facility Energy under Articles VI or Replacement Energy, as applicable, that is delivered by Seller and IX and Appendix A.received by Buyer.
