Common use of Transfer of FCU Credits Prohibited Clause in Contracts

Transfer of FCU Credits Prohibited. “Transfer” means a sale, assignment, transfer, gift, exchange or other disposition, including by operation of law, of all or any part of an FCU Credit to any person or entity. Permittee will not Transfer the FCU Credits. Any Transfer or attempted Transfer of the FCU Credits is void, and North Central Mitigation will not assume legal responsibility for the Mitigation Requirement upon any Transfer or attempted Transfer of the FCU Credits. This paragraph will survive the Closing of the transaction contemplated herein.
