Common use of Transfer of PPD Regulatory Filings and Regulatory Documentation Clause in Contracts

Transfer of PPD Regulatory Filings and Regulatory Documentation. If Xxxxxxx exercises the Xxxxxxx Option, then PPD shall, within fifteen (15) business days of such exercise, to the extent not previously assigned, (a) transfer into Xxxxxxx’x name legal title to all Regulatory Filings and Regulatory Documentation under the control of PPD or any Affiliate thereof concerning any Licensed Product (including but not limited to the Existing IND(s)), free and clear of all liens, claims, and encumbrances, (b) deliver to Xxxxxxx copies of all Regulatory Filings, and Regulatory Documentation, and (c) transfer ownership and deliver to Xxxxxxx all GMP API, CTM or Finished Product (if any) in the control of PPD or any Affiliate thereof, free and clear of all liens, claims, and encumbrances.
