Transfer of Title; Transfer Taxes. All of Seller’s right, title and interest in and to the Purchased Assets shall be sold, conveyed, assigned, transferred and delivered by the Seller to the Buyer at the Closing, free and clear of all Encumbrances. All transfer, conveyance, sales, use, stamp and/or similar state and local taxes arising from the Transaction, if any, shall be shared equally between the Seller and the Buyer and paid at Closing. In the event that Closing is not delayed, the Buyer and Seller may agree that the Transaction be accomplished under Section 1146(a) of the Bankruptcy Code.

  • Transfer of Title Seller shall transfer title in and to the Shares to the Purchaser free and clear of all liens, security interests, pledges, encumbrances, charges, restrictions, demands and claims, of any kind or nature whatsoever, whether direct or indirect or contingent.

  • Title Transfer Upon compliance by the Lessee with the terms of Sections 11.04(a) and (b) hereof, the Lessor will transfer to the Lessee (subject to any insurer's salvage rights), without recourse or warranty (except as to the absence of Lessor's Liens), all of the Lessor's right, title and interest, if any, in and to the Engine with respect to which such Event of Loss occurred.
