The parties hereto shall cooperate in good faith to minimize the amount of any Transfer Taxes, including by obtaining any certificate or form which may establish an exemption from Transfer Taxes.
Parent shall prepare and timely file all Tax Returns and other documentation with respect to such Transfer Taxes.
Without limiting the foregoing, any tax return or other document with respect to such Transfer Taxes shall be timely prepared and filed by the party required to file such tax return under applicable law.
