Neither Member shall Transfer all or any part of its rights or obligations under the Agreement except in conjunction with a Transfer or termination of such Member's Ownership Interest permitted by the Agreement. Any such permitted Transfer shall be subject to the consent requirements of Section 7.2 of the LLC Operating Agreement. Nothing in this Section 5.1 requires that a Member's rights and obligations under this Agreement be assigned in connection with the Transfer of its Ownership Interest.
