Transfer or Termination of Rights. Neither Member shall Transfer all or any part of its rights or obligations under this Agreement, except in conjunction with a transfer or termination of the Member's Ownership Interest permitted by the LLC Agreement as Amended. Any such permitted assignment shall be subject to the consent requirements of Section 7.2 of the LLC Agreement as Amended.
