Common use of Transfer Taxes; Recording Charges Clause in Contracts

Transfer Taxes; Recording Charges. Notwithstanding anything to the contrary herein, all transfer, documentary, sales, use, stamp, registration and other similar Taxes, and all conveyance fees, recording charges and other similar fees and charges (including any penalties and interest) (collectively, “Transfer Taxes”) incurred in connection with the consummation of the transactions contemplated by this Agreement shall be paid by the Sellers when due, and the Sellers will, at their own expense, file all necessary Tax Returns and other documentation with respect to all such Taxes, fees and charges.

Notwithstanding anything contained herein to the contrary hereincontrary, all transfer, documentary, sales, use, stamp, registration and such other similar Taxes, and all conveyance fees, recording charges and other similar fees and charges incurred in connection with the completion of the Contemplated Transactions (including any penalties and interest) (collectively, “Transfer Taxes”) incurred in connection with the consummation of the transactions contemplated by this Agreement shall be paid by the Sellers when due, and the Sellers will, at their own expense, Purchaser. Purchaser shall file all necessary Tax Returns and other documentation with respect to all such Transfer Taxes, fees and chargesSeller shall provide reasonable cooperation to Purchaser in connection with the preparation and filing of such Tax Returns and other documentation.
