Transfer to Another Jurisdiction. The Board of Directors, by majority vote, may, without the vote of the Investors, cause the Partnership to transfer to or domesticate in any jurisdiction outside of the United States that permits a transfer or domestication of a limited partnership and, in connection therewith, elect to continue the Partnership's existence as a Delaware limited partnership, in accordance with Section 17-216 of the DRULPA. Any certificate of transfer or certificate of transfer and continuance shall be executed and filed by the General Partner with the Office of the Secretary of State of the State of Delaware.
