Transferring this Agreement. 12.1 Neither Party may transfer, novate, or assign this Agreement (in whole or in part) without the other Party’s prior written consent, such consent not to be unreasonably withheld. 12.2 Despite clause 12.1, we may transfer, novate, or assign this Agreement (in whole or part) without your consent to: (a) a company within our Group; or (b) a debt collection agency where we have terminated this Agreement for your non-payment. 12.3 We may perform some or all of our obligations under this Agreement by using subcontractors.
