Common use of Transfers and Other Liens Clause in Contracts

Transfers and Other Liens. Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) or otherwise dispose of any of the Collateral or (b) create or suffer to exist any Lien upon or with respect to any of the Collateral, except for the security interest under this Agreement.

Transfers and Other Liens. The Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option with respect to, any of the Pledged Collateral without the prior written consent of the Indenture Trustee, or (bii) create or suffer permit to exist any Lien upon or with respect to any of the Collateral, Pledged Collateral except for the security interest under this AgreementPledge Agreement and in connection with any Senior Indebtedness.

The Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of any of the Collateral Collateral, or (b) create or suffer permit to exist any Lien upon or with respect to any of the Collateral, except for the Lien and security interest under created by this AgreementAgreement and the Credit Agreement and Permitted Liens in favor of Governmental Authorities.

Without concurrently satisfying all the Obligations, Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option with respect to, any of the Collateral Pledged Collateral, or (b) create or suffer permit to exist any Lien lien, security interest, or other charge or encumbrance upon or with respect to any of the Collateral, Pledged Collateral except for the security interest under this Agreement.

No Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) or otherwise dispose of of, or grant any option with respect to, any of the Collateral Pledged Collateral, or (bii) create or suffer permit to exist any Lien lien, security interest, option or other charge or encumbrance upon or with respect to any of the Pledged Collateral, except for the security interest under this Agreement.

The Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option with respect to, any of the Pledged Collateral without the prior written consent of the Lender, or (bii) create or suffer permit to exist any Lien upon or with respect to any of the Collateral, Pledged Collateral except for the security interest under this Pledge Agreement, the Existing Loan Agreements and in connection with the Indenture.

The Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option or warrant with respect to, any of the Collateral Pledged Collateral, or (bii) create or suffer permit to exist any Lien lien upon or with respect to any of the Pledged Collateral, except for the liens and security interest interests under or permitted by this Agreement.

Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of any of the Collateral or any interest therein, or (b) create or suffer permit to exist any Lien upon or with respect to any of the Collateral, except for the Lien and security interest under created by this AgreementAgreement and the other Loan Documents and Permitted Liens in favor of Governmental Authorities.

The Pledgor agrees that it will not not, nor will it attempt in any manner to, (ai) sell, assign (by operation of law or otherwise) sell or otherwise dispose of any of the Collateral Pledged Collateral, or (bii) create or suffer permit to exist any Lien upon or with respect to any of the Pledged Collateral, except for the security interest under this Agreement.

Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of any of the Collateral Collateral, or (b) create or suffer permit to exist any Lien lien, security interest, or other charge or encumbrance upon or with respect to any of the Collateral, except for the security interest under created pursuant to this AgreementCash Management Agreement or any other Transaction Document.

The Pledgor agrees that it will shall not (a) sell, assign (by operation of law or otherwise) assign, transfer, pledge, encumber or otherwise dispose of in any other manner the Collateral (except in favor of the Collateral Agent hereunder) or (b) create or suffer to exist any Lien upon or with respect to any of the CollateralCollateral to secure indebtedness of any person, except for the security interest under created by this Agreement and except as permitted by the Credit Agreement.

Each Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of any of the Collateral Collateral; provided that, so long as no Event of Default shall have occurred and be continuing, such Pledgor may do so in the ordinary course of business, or (b) create or suffer permit to exist any Lien Lien, security interest, or other charge or encumbrance upon or with respect to any of the Collateral, except for the security interest under this Agreement.

Transfers and Other Liens. Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) or otherwise dispose of any of the Collateral or (b) create or suffer to exist any Lien upon or with respect to any of the Collateral, except for the security interest under this Agreement and the BCC Security Agreement.

Pledgor agrees Pledgors agree that it will not (ai) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, in bulk, any of the Collateral or Pledged collateral, (bii) create or suffer permit to exist any Lien lien, security interest or other charge or encumbrance upon or with respect to any of the Pledged Collateral, except for the security interest under this Agreement, except it may make inventory sales and pay proceeds as required by the note.

The Pledgor agrees that it he will not (ai) sell, assign (by operation of law or otherwise) or otherwise dispose of of, or grant any option with respect to, any of the Collateral Pledged Collateral, or (bii) create or suffer permit to exist any Lien lien, security interest, option or other charge or encumbrance upon or with respect to any of the Pledged Collateral, except for the security interest under this AgreementAgreement and except for encumbrances created by securities laws.

The Pledgor agrees that it will not not, directly or indirectly, (ai) selltransfer, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option or warrant with respect to, any of the Collateral Pledged Collateral, without the prior written consent of the Lender, or (bii) create create, suffer or suffer permit to exist any Lien upon or with respect to any of the Pledged Collateral, except for the Lien and security interest under created pursuant to this Agreement.

Transfers and Other Liens. The Pledgor agrees that it will not (a) sellcreate, assign (by operation of law grant or otherwise) or otherwise dispose of any of the Collateral or (b) create or suffer permit to exist any Lien consensual lien, security interest, or other charge or encumbrance upon or with respect to any of the Pledged Collateral, except for the pledge and security interest under this Agreement, or (b) sell, convey or transfer any of the Pledged Collateral, in each case without the prior written consent of the Directing Holders.

Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option with respect to, any of the Pledged Collateral owned by it, or (bii) create or suffer permit to exist any Lien lien or other encumbrance upon or with respect to any of the such Pledged Collateral, except for with respect to the security interest under this AgreementXxxxxx Notes.

The Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) or otherwise dispose of of, or grant any option with respect to, any of the Pledged Collateral and any such sale, assignment or disposition shall be null and void; or (bii) create or suffer permit to exist any Lien lien, security interest, option or other charge or encumbrance upon or with respect to any of the Pledged Collateral, except for the security interest under this Agreement.

Each Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) or otherwise dispose of any of the Collateral or (b) create or suffer to exist any Lien upon or with respect to any of the Collateral, Collateral except for the security interest under this AgreementAgreement or the other Loan Documents and the subordinate lien granted to KeyBank National Association, as Agent, by Pledgors pursuant to that certain Second Collateral Account Agreement dated of even date herewith.

Transfers and Other Liens. The Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) or otherwise dispose of of, or grant any option with respect to, any of the Collateral Collateral, or (bii) create or suffer permit to exist any Lien Lien, upon or with respect to any of the Collateral, except for the security interest under this Agreement.

Transfers and Other Liens. The Pledgor agrees that it will not (ai) sell, assign (by operation of law or otherwise) or otherwise dispose of or grant any option with respect to, any of the Collateral Collateral, or (bii) create or suffer permit to exist any Lien upon or with respect to any of the Collateral, except for the security interest under this Agreement.

Transfers and Other Liens. The Pledgor agrees that it will shall not (a) sell, assign (by operation of law or otherwise) or otherwise dispose of of, or grant any option with respect to, any of the Collateral Collateral, or (b) create or suffer to exist any Lien lien, security interest, option or other charge or encumbrance upon or with respect to any of the Collateral, Collateral except for the pledge, assignment, and security interest under created by this Agreement and/or the Shareholders Agreement.

The Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of of, or grant any option with respect to, any of the Collateral Pledged Collateral; or (b) create or suffer permit to exist any Lien lien, security interest or other charge or encumbrance upon or with respect to any of the Pledged Collateral, except for the security interest under this Agreement.

Transfers and Other Liens. The Pledgor agrees that it will not (a) sell, assign (by operation of law or otherwise) sell or otherwise dispose of any of the Collateral Collateral, or (b) create or suffer permit to exist any Lien upon or with respect to any of the Collateral, except for the Lien and security interest under created by this AgreementAgreement and the other Loan Documents and Permitted Liens in favor of Government Authorities.
