Common use of Transfers of Units by Partners Other than Hxxxx Partners Clause in Contracts

Transfers of Units by Partners Other than Hxxxx Partners. Any Partner other than the Managing General Partner and the Hxxxx Limited Partner may Transfer any Units and all or part of any Participation Interest held by it at any time, subject only to the provisions of Section 10.5. Any such Partner that Transfers all or any part of the Units or Participation Interest held by it shall pay all reasonable expenses, including attorneys’ fees, incurred by the Partnership or the Managing General Partner in connection with such Transfer.
