Common use of Transfers to SANParks on Termination Clause in Contracts

Transfers to SANParks on Termination. On termination of this PPP Agreement for any reason in accordance with its terms after the Operation Commencement Date the Private Party shall: 30.2.1 procure that any Transferable Licensed Intellectual Property procured either by the Private Party or a Subcontractor and required for the continued performance of the Project Deliverables after the Termination Date shall be provided to SANParks and SANParks shall be granted a perpetual non- exclusive, royalty-free licence to use such Transferable Licensed Intellectual Property, irrespective of whether or not such Transferable Licensed Intellectual Property is owned by the Private Party or a Subcontractor, or not; 30.2.2 deliver to SANParks (as far as not already delivered to SANParks) one complete set of: 30.2.2.1 maintenance, operation and training manuals for the AENP Xxxx Braai Facility and where they do not exist, the Private Party has an obligation in terms of this PPP Agreement to acquire or prepare them; and 30.2.2.2 the historical operating data and plans of the Xxxx Braai Facility , its furniture, fittings and equipment in a format acceptable to SANParks;

On termination of this PPP Agreement for any reason in accordance with its terms after the Operation Commencement Date the Private Party shall: 30.2.1 procure that any Transferable Licensed Intellectual Property procured either by the Private Party or a Subcontractor and required for the continued performance of the Project Deliverables after the Termination Date shall be provided to SANParks and SANParks shall be granted a perpetual non- non-exclusive, royalty-free licence to use such Transferable Licensed Intellectual Property, irrespective of whether or not such Transferable Licensed Intellectual Property is owned by the Private Party or a Subcontractor, or not; 30.2.2 deliver to SANParks (as far as not already delivered to SANParks) one complete set of: 30.2.2.1 maintenance, operation and training manuals for the AENP Xxxx Braai Facility NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP and where they do not exist, the Private Party has an obligation in terms of this PPP Agreement to acquire or prepare them; and 30.2.2.2 the historical operating data and plans of the Xxxx Braai Facility NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP, its furniture, fittings and equipment in a format acceptable to SANParks;

On termination of this PPP Agreement for any reason in accordance with its terms after the Operation Commencement Date the Private Party shall: 30.2.1 29.2.1 procure that any Transferable Licensed Intellectual Property procured either by the Private Party or a Subcontractor and required for the continued performance of the Project Deliverables after the Termination Date shall be provided to SANParks and SANParks shall be granted a perpetual non- non-exclusive, royalty-free licence license to use such Transferable Licensed Intellectual Property, irrespective of whether or not such Transferable Licensed Intellectual Property is owned by the Private Party or a Subcontractor, or not; 30.2.2 29.2.2 deliver to SANParks (as far as not already delivered to SANParks) one complete set of: 30.2.2.1 29.2.2.1 maintenance, operation and training manuals for the AENP Xxxx Braai Facility Scooter Tours operation and where they do not exist, the Private Party has an obligation in terms of this PPP Agreement to acquire or prepare them; and 30.2.2.2 29.2.2.2 the historical operating data and plans of the Xxxx Braai Facility Scooter Tours , its furniture, fittings and equipment in a format acceptable to SANParks;

Transfers to SANParks on Termination. On termination of this PPP Agreement for any reason in accordance with its terms after the Operation Commencement Date the Private Party shall: 30.2.1 procure that any Transferable Licensed Intellectual Property procured either by the Private Party or a Subcontractor and required for the continued performance of the Project Deliverables after the Termination Date shall be provided to SANParks and SANParks shall be granted a perpetual non- non-exclusive, royalty-free licence to use such Transferable Licensed Intellectual Property, irrespective of whether or not such Transferable Licensed Intellectual Property is owned by the Private Party or a Subcontractor, or not; 30.2.2 deliver to SANParks (as far as not already delivered to SANParks) one complete set of: 30.2.2.1 maintenance, operation and training manuals for the AENP Xxxx Braai Facility Geelbek Restaurant and with related tourism activities and where they do not exist, the Private Party has an obligation in terms of this PPP Agreement to acquire or prepare them; and 30.2.2.2 the historical operating data and plans of the Xxxx Braai Facility Geelbek Restaurant and with related tourism activities, its furniture, fittings and equipment in a format acceptable to SANParks;

On termination of this PPP Agreement for any reason in accordance with its terms after the Operation Commencement Date the Private Party shall: 30.2.1 procure that any Transferable Licensed Intellectual Property procured either by the Private Party or a Subcontractor and required for the continued performance of the Project Deliverables after the Termination Date shall be provided to SANParks and SANParks shall be granted a perpetual non- non-exclusive, royalty-free licence to use such Transferable Licensed Intellectual Property, irrespective of whether or not such Transferable Licensed Intellectual Property is owned by the Private Party or a Subcontractor, or not; 30.2.2 deliver to SANParks (as far as not already delivered to SANParks) one complete set of: 30.2.2.1 maintenance, operation and training manuals for the AENP Xxxx Braai Facility Phabeni Education Centre and where they do not exist, the Private Party has an obligation in terms of this PPP Agreement to acquire or prepare them; and 30.2.2.2 the historical operating data and plans of the Xxxx Braai Facility Phabeni Education Centre, its furniture, fittings and equipment in a format acceptable to SANParks;
