Transition Assistance to Licensor. In connection with a reversion of rights and assignment in accordance with Section 13.6(d), Licensee will provide such assistance, as expeditiously as possible, at no cost to Licensor, and as may be, and for so long as, reasonably necessary or useful (in Licensee’s sole determination) for Licensor to continue Developing or Commercializing Product throughout the Territory to the extent Licensee, its Affiliates and sublicensees are then performing or having performed such activities, including (i) furnishing to Licensor all safety information owned or controlled by Licensee and (ii) assigning or amending as appropriate, upon request of Licensor, any agreements or arrangements with Third Party contractors to Develop, distribute, sell or otherwise Commercialize Product. To the extent that any such contract between Licensee and a Third Party is not assignable to Licensor, Licensee will reasonably cooperate with Licensor to arrange to continue to provide such services for a reasonable time after termination.
